Terms of Service
Last updated: September 25, 2026
1. Who we are
Nelxa is provided by TodsAI LLC (“we”, “us”), a Wyoming (USA) limited liability company, 30 N Gould St Ste N, Sheridan, WY 82801, USA. You can contact us at hello@nelxa.com.
2. The service
Nelxa is a multi-tenant, web-based system for travel agencies: client records, trip pipeline, itineraries, proposals, contracts and e-signatures, payments and instalments, group operations, a client portal, automations and optional AI features.
Nelxa is currently offered in beta. Features may be added, changed or removed while we learn how agencies use them; we will tell account owners about material changes.
3. Accounts and workspaces
You need an account (email and password, or a Google account) to use Nelxa. The person who creates a workspace becomes its owner and is responsible for the workspace, including who is invited and with which role. Invitations are bound to the invited email address and can only be accepted by an account with that verified address.
Keep your credentials confidential and tell us at once if you believe an account has been compromised. Everything done from a signed-in account is attributed to that account.
4. Your customers' data
Your workspace holds personal data of your travellers: contact details, identity document details, payment records, contracts, notes and messages. For this data your agency is the controller and we are your processor. The Data Processing Agreement forms part of these terms.
You are responsible for having a lawful basis to collect and process that data, for the accuracy of what you enter, and for informing your travellers about how their data is used, including that it is processed in Nelxa. Special categories of data (for example medical or dietary notes on group passengers) may only be recorded where the law and your own policies allow it.
5. Acceptable use
You may use Nelxa only for operating your travel business and only in compliance with applicable law. You must not: attempt to access another agency's workspace or data; interfere with the service or its security; use the service to send unsolicited communications; upload unlawful content; or resell access without our written agreement.
We may suspend access to protect the service, other agencies or your travellers, and will tell you why unless the law prevents it.
6. Services you connect
Some features use accounts you hold with third parties: a Stripe account for card payments, an email provider (Brevo, Resend or your own SMTP server) for sending, an AI provider (OpenAI, Anthropic or Google) for optional AI features, a Google account for calendar sync. Those services are governed by their own terms; you are responsible for your accounts with them and for any charges they make. Keys and secrets you enter are stored encrypted and used only to operate the feature you connected them for.
7. Beta, fees and founding customers
During the beta the service is free of charge. Public pricing for the Standard and Premium plans is announced on the pricing page. Paid plans start only when public pricing launches; account owners are informed in advance and nothing is charged without your agreement. Agencies that join during the beta receive the founding customer discount described on the pricing page.
8. Availability and support
We aim to keep Nelxa available continuously, but as a beta service it is provided without an availability guarantee. Maintenance, updates and incidents can interrupt it. Support is by email at hello@nelxa.com; we answer within business days.
9. Ending the agreement
You can stop using Nelxa at any time and ask us to close the workspace. We may end the agreement with reasonable notice, or immediately for a serious breach of these terms.
Before closure, export what you need. Data you delete moves to the workspace trash and is permanently purged 30 days later; trips that hold financial records are retained for accounting purposes. After closure we delete or return workspace data as described in the Privacy Policy and the Data Processing Agreement.
10. Intellectual property
Nelxa, its software, design and documentation belong to TodsAI LLC and its licensors. Your content (client data, itineraries, templates, documents, branding) stays yours; you grant us the right to host, process and display it solely to provide the service to you.
11. Warranties and liability
Nelxa is provided as is during the beta. To the extent permitted by applicable law, we exclude implied warranties and are not liable for indirect or consequential loss, loss of profit or loss of data, and our total liability under these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
Nelxa records who signed a document, when, from which address and against which version. Whether an electronic signature meets a particular legal standard depends on your jurisdiction and your own terms with your travellers.
12. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, USA. Disputes are submitted to the state and federal courts located in Wyoming, USA, without prejudice to mandatory consumer or business protection rules that apply to you.
13. Changes to these terms
We may update these terms. We will inform account owners of material changes by email or in the product before they take effect; continued use after that date means you accept the updated terms.
